PRODUCER COMMISSIONS. The Producer Commissions with respect to the Flow Reinsured Contracts shall be calculated in accordance with the Ceding Company’s commission policy, a copy of which as of the Effective Time is as set forth in Schedule AA hereto. The Ceding Company shall not change its commission policy in any material respect without the prior written consent of the Reinsurer, which consent shall not be unreasonably withheld, conditioned or delayed. In the event there is a change in the Ceding Company’s commission policy that is agreed between the Parties that necessitates an amendment to Schedule N, the Parties shall work in good faith to promptly agree on an amendment to Schedule N.
