PRODUCT HAZARDS. BUYER ACKNOWLEDGES THAT IT IS FAMILIAR WITH PRODUCT AND HAS BEEN ADEQUATELY WARNED BY SELLER OF THE RISKS ASSOCIATED WITH HANDLING, TRANSPORTING, USING, STORING AND DISPOSING OF PRODUCT, INCLUDING, WITHOUT LIMITATION, THOSE SET FORTH IN SELLER’S SAFETY DATA SHEET FOR PRODUCT (“SDS”). BUYER FURTHER ACKNOWLEDGES ITS SEPARATE AND INDEPENDENT KNOWLEDGE OF SUCH RISKS, WHICH ARE KNOWN IN BUYER’S INDUSTRY. BUYER AFFIRMS IT HAS RECEIVED AND UNDERSTANDS THE CONTENTS OF SAID SDS. Buyer will maintain compliance with all appropriate safe handling and use procedures, and all safety and health-related governmental requirements concerning Product, and will take such steps as necessary to inform its employees, agents, contractors, customers and other third parties of proper use, storage, and disposal of Product. Such steps include, but are not limited to, dissemination of pertinent information contained in the SDS, as appropriate. Buyer will not deliver or consign commercial or sample quantities of Product to any party whom Buyer reasonably believes will handle, transport, use, store or dispose of said Product in a dangerous manner or contrary to law or the advice of Seller. Buyer hereby agrees that Seller will have the right to immediately cease delivery of Product to Buyer, pursuant to this Contract or otherwise, if, in Seller’s reasonable opinion, Buyer fails to take necessary action to prevent or mitigate imminent endangerment to human health, safety, or the environment with regards to Buyer, or Buyer’s representatives or agents’ handling, transportation, use, storage, and disposal of Product. 14. PELIGROS DEL PRODUCTO: EL COMPRADOR RECONOCE QUE ESTÁ FAMILIARIZADO CON EL PRODUCTO Y QUE EL VENDEDOR LE HA INFORMADO ADECUADAMENTE SOBRE LOS RIESGOS ASOCIADOS CON LA MANIPULACIÓN, EL TRANSPORTE, EL USO, EL ALMACENAMIENTO Y LA ELIMINACIÓN DEL PRODUCTO, INCLUIDOS, ENTRE OTROS, AQUELLOS ESTABLECIDOS EN LA HOJA DE DATOS DE SEGURIDAD (“HDS”) DEL VENDEDOR CORRESPONDIENTE AL PRODUCTO. EL COMPRADOR RECONOCE ADEMÁS SU CONOCIMIENTO SEPARADO E INDEPENDIENTE DE TALES RIESGOS, QUE SON CONOCIDOS EN SU INDUSTRIA. EL COMPRADOR AFIRMA QUE HA RECIBIDO Y ENTENDIDO EL CONTENIDO DE DICHA HDS. El Comprador cumplirá con todos los procedimientos apropiados de manipulación y uso seguro, y con todos los requisitos gubernamentales relacionados con la seguridad y la salud respecto al Producto, y tomará aquellas medidas que xxxx necesarias para informar a sus empleados, agentes, contratistas, clientes y otros terceros sobre el uso, almacenamiento y eliminación adecuados del Producto. Esas medidas incluyen, entre otras, la difusión de información pertinente contenida en la HDS, cuando corresponda. El Comprador no entregará ni consignará cantidades comerciales ni de muestras del Producto a terceros si cree razonablemente que manipularán, transportarán, usarán, almacenarán o eliminarán dicho Producto de una manera peligrosa, contraria a xx xxx o al asesoramiento del Vendedor. Por este medio, el Comprador conviene en que el Vendedor tendrá derecho a suspender de inmediato la entrega del Producto al Comprador, de conformidad con este Contrato, si, a criterio razonable del Vendedor, el Comprador no toma las medidas necesarias para evitar o mitigar el peligro inminente para la salud humana, la seguridad o el medio ambiente con respecto a la manipulación, transporte, uso, almacenamiento y eliminación del Producto por parte del Comprador, o de sus representantes o agentes.
