PRODUCT LIABILITY INDEMNIFICATION BY CUSTOMER. Customer shall defend, indemnify and hold Flextronics, its officers, employees, and agents harmless against any and all Losses arising directly or indirectly as a result of, or relating to, (a) defects in the Manufacturing and/or Functional Specifications for the Products or (b) Flextronics' complying with the Manufacturing Specifications, except to the extent that any such Losses are due to the negligence or wrongful acts of Flextronics, its officers, employees, or agents.
