Product Service Provided under a Vendor Warranty. For completed Product Services on Other Products covered by a Vendor Warranty, Buyer will be obligated to pay Seller its charges specified in the Services Agreement dated , 2012 between SHO and SHMC (the “Services Agreement”) but only if (A) the Vendor refuses to reimburse Seller for the Product Services solely on the grounds that the Vendor’s obligations with respect to the Vendor Warranty do not extend to Other Products purchased from Buyer, and (B) Seller has complied with its obligations in Section 10(a)(ii).
