Products Ordered before Specified Date Clause Samples

Products Ordered before Specified Date. For each Batch of Finished Product ordered by Eisai under the Existing Agreement prior to the Specified Date, whether delivered before or after the Specified Date, that is not included in the calculation of Reconciliation Payment (as defined in the Existing Agreement) invoiced to Eisai as of the Specified Date, Eisai shall pay Arena the Product Purchase Price (as defined in the Existing Agreement) under Section 7.4(a) of the Existing Agreement; provided that such Product Purchase Price will not be subject to adjustment or reconciliation under Section 7.4(b), (c), (d) or (e) or Section 7.5 of the Existing Agreement.
