Common use of Products Sales to Xxxx by PRC Clause in Contracts

Products Sales to Xxxx by PRC. Xxxx agrees to purchase from PRC, and PRC agrees to sell to Xxxx, the Products produced by the Refinery or delivered to the Refinery, and delivered by PRC into the Included Locations at the prices determined pursuant to this Agreement and otherwise in accordance with the terms and conditions of this Agreement (in each case, other than with regard to any Excess Quantities or Excluded Third-Party Inventory); provided that (i) Xxxx shall not be obligated at any time to purchase Products from PRC if such purchase would result in Xxxx owning Products in any Product Group in the Included Locations in excess of the Maximum Inventory for such Product Group specified on Schedule E (as such Maximum Inventory is adjusted pursuant to Section 6.4) and (ii) Aron’s purchase obligation under this Section 6.1 shall be limited to the extent that it is unable to take delivery of Products as a result of PRC’s failure to comply with the proviso in Section 6.2.
