Common use of Profits Participation Interest Clause in Contracts

Profits Participation Interest. From and after the Effective Date, pursuant to the terms of the Third Amended and Restated Limited Liability Company Agreement of Company (the “Company LLC Agreement”), Executive shall continue to have a profits participation interest in Company in the form of Class B Units. The number of such Class B Units and all terms and conditions thereof, including, without limitation, vesting, forfeiture, transfer, buy/sell, distribution, voting and registration rights, if any, are as set forth in and shall be governed exclusively by the Company LLC Agreement, as the Company LLC Agreement may be amended in accordance with its terms from time to time.

The number of such Class B Units and all terms and conditions thereof, including, without limitation, vesting, forfeiture, transfer, buy/sell, distribution, voting and registration rights, if any, are as set forth in and shall be governed exclusively by the Company LLC Agreement, as the Company LLC Agreement such agreement may be amended in accordance with its terms from time to time.
