Prohibited Acts. Contractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement, or enter into a contract with a subcontractor that fails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement.

Prohibited Acts. In addition to any other provision of the General Terms, the Subscriber shall not: (i) use the terminal device in any way that is not in compliance with the technical standards established by the applicable laws and regulations equivalent to the Federal Communications Commission (FCC) rules or the CE Marking (CE Mark) for Radio Telecommunications Equipment; (ii) use the terminal device not supported by SORACOM Air Global Services (including, but not limited to using terminal devices connecting by radio access technology other than that specified on Soracom Site for each subscription); (iii) perform any act prohibited by the telecommunication carrier(s); (iv) perform any act (including but limited to prohibition of data transmission to another country or prohibition of permanent roaming) prohibited by the applicable laws and regulations in the countries where the Subscriber uses SORACOM Air Global Services; (v) subject the apparatus or system for the SORACOM Air Global Service to excessive data loads by generating continuous traffic exceeding the limits specified by SORACOM separately; (vi) use the SORACOM Air Global Service for child prostitution, viewing or acquiring child pornography or sending nuisance e-mail or any other purpose that SORACOM regards as inappropriate; (vii) assign, transfer, sublet or provide as collateral, or otherwise dispose of all or part of SORACOM Information; (viii) reproduce all or part of SORACOM Information for the use of third party (ix) let a third party (excluding Subscriber’s Customers) use SORACOM System and SORACOM Information; (x) modify or tamper with SORACOM Information; (xi) use SORACOM Information for any product or service provided by a third party; (xii) use SORACOM Information for any product or service that infringes on SORACOM’s or any third party’s intellectual property rights; (xiii) file application of intellectual property rights based on the SORACOM Information; (xiv) attack the storage server of SORACOM Information by using unauthorized access or a computer virus; (xv) reverse engineer, decompile, reverse assemble or otherwise analyze the SORACOM System; or (xvi) let a third party perform any of the respective acts of the preceding paragraph (xv).
Prohibited Acts. The Supplier warrants and represents that: it has not committed any offence under the Bribery Act 2010 or done any of the following (“Prohibited Acts”): offered, given or agreed to give any officer or employee of the Authority any gift or consideration of any kind as an inducement or reward for doing or not doing or for having done or not having done any act in relation to the obtaining or performance of this or any other agreement with the Authority or for showing or not showing favour or disfavour to any person in relation to this or any other agreement with the Authority; or in connection with this Contract paid or agreed to pay any commission other than a payment, particulars of which (including the terms and conditions of the agreement for its payment) have been disclosed in writing to the Authority; and it has in place adequate procedures to prevent bribery and corruption, as contemplated by section 7 of the Bribery Act 2010. If the Supplier or its Staff (or anyone acting on its or their behalf) has done or does any of the Prohibited Acts or has committed or commits any offence under the Bribery Act 2010 with or without the knowledge of the Supplier in relation to this or any other agreement with the Authority: the Authority shall be entitled: to terminate this Contract and recover from the Supplier the amount of any loss resulting from the termination; to recover from the Supplier the amount or value of any gift, consideration or commission concerned; and to recover from the Supplier any other loss or expense sustained in consequence of the carrying out of the Prohibited Act or the commission of the offence under the Bribery Act 2010; any termination under Clause 29.2.1 of this Schedule 2 shall be without prejudice to any right or remedy that has already accrued, or subsequently accrues, to the Authority; and notwithstanding the Dispute Resolution Procedure, any Dispute relating to: the interpretation of Clause 29 of this Schedule 2; or the amount or value of any gift, consideration or commission, shall be determined by the Authority, acting reasonably, and the decision shall be final and conclusive.
Prohibited Acts. Within the three (3) years prior to the Effective Date of this Agreement, Provider or any of its members if a joint venture or a limited liability company, or any of its or their respective officers, directors, shareholders, members, managers, other officials, agents or employees (1) have not been convicted of bribery or attempting to bribe a public officer or employee of any public entity, and (2) have not been convicted of agreeing or colluding among contractors or prospective contractors in restraint of trade, including bid-rigging or bid-rotating, as those terms are defined under the Illinois Criminal Code.
Prohibited Acts. A Member or a Specified Corporate User will not engage in any of the following acts. (1) Member or Specified Corporate User may not allow another person other than the Member or Specified Corporate User to use the Subscription. Member or Specified Corporate User acknowledges that the bicycle removed from a bicycle port will be only used by Member or Specified Corporate User and will not share the Bicycle and any other unique Subscriber information to any other person. (2) Member or Specified Corporate User may not engage in dangerous behavior such as reckless riding or riding under the influence of alcohol and/or medication or other substance that may impair your ability to safely operate the Bicycle. (3) Member or Specified Corporate User may not violate any applicable traffic rules or any command or instruction from law enforcement personnel. (4) Member or Specified Corporate User may not use the Bicycle in public parks, etc. where riding is forbidden, in hazardous places or where riding is inappropriate. (5) Engage in acts that may obstruct the passage of pedestrians. (6) Member or Specified Corporate User may not enhance or modify the structure or fittings of the Bicycle. (7) Member or Specified Corporate User may not park in an area where the parking of bicycles, etc. is prohibited under local regulations, park on private property without permission, or park in a place that may obstruct passage. (8) Member or Specified Corporate User may not persist in riding the Bicycle when it breaks down in the course of riding. (9) Member or Specified Corporate User may not use the Bicycle for various tests, competitions, or hauling or pushing objects. (10) Member or Specified Corporate User may not possess the Bicycle for a sustained period of time at home or office beyond the designated purpose of use. (Such as, possessing the Bicycle for the next day use) (11) Member or Specified Corporate User may not (In the case of a Member or a Specified Corporate User less than 13 years old) ride the Bicycle without wearing a helmet. (12) Member or Specified Corporate User may not collect information automatically from our official website or Bicycle Rental (Sharing) system, using computer software technology irrespective of the name such as web scraping, web crawler, web spider, etc. In addition, any act that puts an excessive burden on the website or Bicycle Rental (Sharing) system which may interfere with stable service provision. Prohibited Acts. 33.1 The Provider will not offer or give, or agree to give, to any member, employee or representative of the Secretary of State for Education any gift or consideration of any kind as an inducement or reward for doing or refraining from doing, or for having done or refrained from doing, any act in relation to the obtaining or execution of this Agreement or any other Agreement with the Department or for showing or refraining from showing favour or disfavour to any person in relation to this Agreement or any such Agreement. 33.2 The Provider’s attention is drawn to the criminal offences created by the Bribery Act 2010. Any offence by the Provider or its employees or by anyone acting on its behalf under the Bribery Act 2010 in relation to this Agreement or any Agreement with the Department or His Majesty’s Government will entitle the Department to terminate the Agreement and recover from the Provider the amount of any loss resulting from such termination and/or to recover from the Provider the amount of value of any gift, consideration or commission. 33.3 The Provider must not use any Funding provided by the Department under this Agreement for any of the purposes set out in paragraph 16 of the Cabinet Office: Guidance for General Grants Grants-Standard-SIX-Grant- Agreements.pdf (xxxxxxxxxx.xxxxxxx.xxx.xx) regardless of whether the Funding consists of a general grant or any other type of grant. For the avoidance of doubt, the Provider’s costs of memberships for their Associations are deemed eligible under the terms of the Agreement. 33.4 The Provider will not hold itself out as acting on behalf of the Department.
Prohibited Acts. Notwithstanding anything to the contrary in this Agreement, neither Subdistributor nor its Personnel shall directly or indirectly: (a) make any representations, warranties, guarantees, indemnities, similar claims, or other commitments: (i) actually, apparently, or on behalf of Distributor or (ii) to any Customer with respect to the Products, which representations, warranties, guarantees, indemnities, similar claims, or other commitments are additional to or inconsistent with any then-existing representations, warranties, guarantees, indemnities, similar claims, or other commitments in this Agreement or any written documentation provided by Distributor to Customer; (b) engage in any unfair, anti-competitive, misleading, or deceptive practices respecting the Products, including any product disparagement; (c) modify Products or Product packaging in any way, or supply instrumentation to surgeons for use with the Products without the prior written consent of the Distributor, other than instrumentation supplied by the Distributor; (d) offer or pay anything of value or other remuneration to any person who may be in a position to procure, influence or otherwise arrange for the ordering or purchasing of the Products; (e) invoice the Customer on behalf of the Distributor for Products sold; (f) engage in any direct contact with beneficiaries of any Federal or state health care programs relative to the Products and Subdistributor’s obligations under this Agreement; and (g) utilize any healthcare professionals or persons in a similar position to exert undue influence on Customers, prospective customers, or patients relative to the purchase or utilization of the Products and Subdistributor’s obligations under this Agreement. Notwithstanding any language to the contrary, Subdistributor understands and agrees that any breach of this Section 3.4 shall be deemed a material breach of this Agreement and, in addition to any other rights and remedies available to Distributor in law or equity, Subdistributor shall forfeit any amounts that are due or payable under this Agreement.
