Prohibited Acts and Uses. Subject to the exceptions set forth in paragraph B below, the following acts and uses are expressly prohibited on the Premises: (1) Constructing, placing or allowing to remain any building, tennis court, landing strip, mobile home, swimming pool, asphalt or concrete pavement, sign, billboard, or other advertising display, antenna, utility pole, conduit line, satellite dish, tower, or other temporary or permanent structure or facility on, above, or under, the Premises; (2) Mining, excavating, dredging, or removing from the Premises soil, loam, peat, gravel, sand, rock, or other mineral resource or natural deposit or otherwise making topographical changes to the area; (3) Placing, filling, storing, or dumping on the Premises of soil, refuse, trash, vehicle bodies or parts, rubbish, debris, junk, waste, or other substance or material whatsoever, or the installation of underground storage tanks; (4) Cutting, removing or otherwise destroying trees, grasses or other vegetation; (5) Activities detrimental to drainage, flood control, water conservation, water quality, erosion control, soil conservation, or archaeological conservation; (6) Storage of vehicles including motorcycles, mopeds, all-terrain vehicles, trail bikes, or any other motorized vehicles on the Premises; (7) The disruption, removal or destruction of any stone walls or granite fence posts on the Premises; (8) The use of the Premises for commercial recreation, business, residential or industrial uses inconsistent with the terms hereof; and (9) Any other use of the Premises or activity thereon which is inconsistent with the purpose of this Conservation Restriction or which would materially impair other significant conservation interests unless necessary for the protection of the conservation interests that are the subject of this Conservation Restriction.

Prohibited Acts and Uses. Subject to the exceptions set forth in sub- paragraph B below, the Grantor will not perform or permit the following acts and uses which are prohibited on, above and below the Premises: 1. Constructing of any permanent buildings, except non-residential buildings, structures or other improvements commonly associated with golf courses, now or in the future, as more specifically described in subparagraph B. For the purposes hereof, the term golf course shall mean the golf course permitted by the Special Permit, as same may be amended. 2. Mining, excavating, dredging or removing from the Premises of soil, loam, peat, gravel, sand, rock or other mineral resource or natural deposit. 3. Placing, filling, storing or dumping on the Premises of soil, refuse, trash, vehicle bodies or parts, rubbish, debris, junk, waste or other substance or material whatsoever or the installation of underground storage tanks. 4. Cutting, removing or otherwise destroying trees, grasses or other vegetation except as reasonably necessary in connection with the continued use of the Premises as a golf course as set forth in subparagraph B below. 5. Activities detrimental to wildlife habitat, water quality, drainage, flood control, water conservation, erosion control or soil conservation. 6. Use, parking or storage of motorized vehicles of any kind, including but not limited to motorcycles, mopeds, all-terrain vehicles, trail bikes, heavy duty construction vehicles, or any other motorized vehicles on the Premises, except for the following: (i) vehicles necessary for public safety (i.e., fire, police, ambulance, other government officials) in carrying out their lawful duties, (ii) any and all vehicles necessary in connection with the use and maintenance of the golf course, including, without limitation, golf carts and all other vehicles required to maintain and care for the golf course; and (iii) any and all vehicles necessary in connection with the acts permitted under Subparagraph B below. 7. No portion of the Premises may be used towards building or development requirements on Grantor’s property or any other parcel, except as provided in the Special Permit, as same may be amended. 8. Any conveyance of the Premises shall be made subject to the terms and conditions of this Restriction. 9. Prohibited Acts and Uses. Subject to the exceptions and rights reserved to the Grantor, its successors, and assigns pursuant to Section III below, the Grantor will not perform or give permission to others to perform the following acts or uses at the Premises: A. alteration or removal of vegetation; B. construction or placement of any building or structure; C. excavation, dredging, or removal of soil, loam, peat, gravel, sand, rock, or other mineral resource or natural deposit in such manner as to significantly affect the surface thereof; D. placement, filling, storing, or dumping of soil, refuse, trash, vehicle bodies or parts, rubbish, debris, junk, waste, or other substance or material whatsoever; E. activities detrimental to drainage, flood control, water quality, water conservation, erosion control, soil conservation, or wildlife habitats; F. use of motorcycles, motorized trail bikes, snowmobiles, and all other motor vehicles; G. construction of bridges, fences, stone walls or paved surfaces; H. use of pesticides or biocides, including but not limited to insecticides, fungicides, rodenticides, and herbicides; and I. other uses of the Premises or activities which would significantly impair the Purposes of this Conservation Restriction, or which applicable federal, state, or local laws or regulations prohibit.
Prohibited Acts and Uses. Customer shall not: a. Use, copy, distribute, publish, recast, translate, or modify the Licensed Software, or any copy, adaptation, transcription or merge portion thereof, except as expressly authorized by this Agreement and CMD; b. Resell, donate, transfer, assign, rent or lease the Licensed Software, or any portions, derivations, or adaptations hereof, except to a successor-in-interest of Customer’s entire business who assumes, in writing, the obligations of this Agreement; c. Sublicense, engage in service bureau work or time-sharing arrangements, unless expressly authorized in writing by CMD; d. Interfere with or disrupt the use of the Licensed Software and shall not attempt any unauthorized use or access to the Licensed Software; or e. Use the Licensed Software for any purpose other than its intended commercial purpose as determined and stated by CMD from time to time.
Prohibited Acts and Uses. (a) Tenant shall not do or permit anything to be done in or about the Premises which will increase the existing rate of insurance upon, or cause the cancellation of, any insurance policy covering the Premises or the Property, nor shall Tenant sell or permit to be kept, used or sold in or about the Premises any items or materials that may be prohibited by a standard form policy of fire insurance or that are explosive or highly flammable. (b) Tenant shall not do or permit anything to be done in or about the Premises that will in any way obstruct or interfere with the rights of other Tenants, occupants, or invitees of the Property. (c) Tenant shall not commit, nor permit to be committed, any waste in or upon the Premises, nor shall Tenant permit or cause any action or event to occur which affects the structural portions of the Premises or the Property, such actions to include, without limitation, the overloading of any floor of the Premises or the penetration of the roof. (d) Tenant shall not use or allow the Premises or any portion thereof to be used for the conduct of a second-hand store, auction, or bogus distress, fire, bankruptcy or going-out-of-business sale. (e) Tenant shall not use or permit to be used any flashing lights, rotating devices, musical instruments, loudspeakers, sound amplifiers, phonographs or radio or television broadcasts in a manner which can be heard, seen or experienced outside of the Premises without first obtaining Landlord's prior written consent, in Landlord's sole discretion. (f) Tenant will not conduct, or allow others to conduct, outdoor, sidewalk or parking lot sales or sales activity outside of the Premises or in the Common Areas without Landlord's prior written consent, in Landlord's sole discretion. (g) Tenant shall not display or offer for sale merchandise nor allow carts, portable signs. devices or any other objects to be stored or to remain outside the defined exterior walls and permanent doorways of the Premises. (h) Tenant shall not use or permit anything to be done in or about the Premises or the Property which will in any way conflict with any law, statute, ordinance or governmental rule or regulation now in force or which may hereafter be enacted or promulgated, including any health and policy regulations (e.g., the Americans with Disabilities Act) ("Laws").   • Prohibited Contracts Except as expressly provided for in the Loan Documents, no Restricted Person will, directly or indirectly, enter into, create, or otherwise allow to exist any contractual restriction or other consensual restriction on the ability of any Subsidiary of Borrower to: (a) pay dividends or make other distributions to Borrower, (b) to redeem Equity interests held in it by Borrower, (c) to repay loans and other indebtedness owing by it to Borrower, or (d) to transfer any of its assets to Borrower, except in the case of clause (d) for (i) customary limitations and restrictions contained in, and limited to, specific leases, licenses, conveyances, partnership agreements and co-owners’ agreements, and similar conveyances and agreements, (ii) customary restrictions on the assignment or transfer of any contract or agreement that are contained in such contract or agreement, (iii) limitations and restrictions arising in connection with Permitted Liens affecting only property subject to such Permitted Lien, (iv) any restriction imposed on particular assets or properties pursuant to an agreement entered into for a sale of such assets or properties not prohibited by Section 7.5 of this Agreement pending the closing of such sale, and (v) limitations and restrictions arising or existing by reason of applicable Law. No Restricted Person will enter into any “take-or-pay” contract. No Restricted Person will amend or permit any amendment to any contract or lease that releases, qualifies, limits, makes contingent or otherwise detrimentally affects the rights and benefits of Administrative Agent or any Lender under or acquired pursuant to any Security Documents. No ERISA Affiliate will incur any obligation to contribute to any Multiemployer Plan or any plan subject to Section 4064 of ERISA. No Restricted Person will, directly or indirectly, enter into, create, or otherwise allow to exist any contractual restriction or other consensual restriction on the ability of any Restricted Person to repay any Indebtedness incurred pursuant to Section 7.1(c).

  • Prohibited Transactions and Activities None of the Depositor, the Servicer or the Trustee shall sell, dispose of or substitute for any of the Mortgage Loans (except in connection with (i) the foreclosure of a Mortgage Loan, including but not limited to, the acquisition or sale of a Mortgaged Property acquired by deed in lieu of foreclosure, (ii) the bankruptcy of the Trust Fund, (iii) the termination of the Trust Fund pursuant to Article IX of this Agreement, (iv) a substitution pursuant to Article II of this Agreement or (v) a purchase of Mortgage Loans pursuant to Article II or III of this Agreement), nor acquire any assets for any REMIC created hereunder (other than REO Property acquired in respect of a defaulted Mortgage Loan), nor sell or dispose of any investments in the Collection Account or the Distribution Account for gain, nor accept any contributions to any REMIC created hereunder after the Closing Date (other than a Qualified Substitute Mortgage Loan delivered in accordance with Section 2.03), unless it has received an Opinion of Counsel, addressed to the Trustee (at the expense of the party seeking to cause such sale, disposition, substitution, acquisition or contribution but in no event at the expense of the Trustee) that such sale, disposition, substitution, acquisition or contribution will not (a) affect adversely the status of any of any REMIC Regular Interest created hereunder as a REMIC or (b) cause any REMIC Regular Interest created hereunder to be subject to a tax on “prohibited transactions” or “contributions” pursuant to the REMIC Provisions.

use any robot, spider, other automatic device, or manual process to monitor or copy our websites without our prior written permission; or use any device, software or routine to bypass our robot exclusion headers. • Interfere or disrupt or attempt to interfere with or disrupt our websites, software, systems (including any networks and servers used to provide any of the PayPal services) operated by us or on our behalf, any of the PayPal services or other users' use of any of the PayPal services. • Take any action that may cause us to lose any of the services from our Internet service providers, payment processors, or other suppliers or service providers. • Use the PayPal services to test credit card behaviors. • Circumvent any PayPal policy or determinations about your PayPal account such as temporary or indefinite suspensions or other account holds, limitations or restrictions, including, but not limited to, engaging in the following actions: attempting to open new or additional PayPal account(s) when an account has a negative balance or has been restricted, suspended or otherwise limited; opening new or additional PayPal accounts using information that is not your own (e.g. name, address, email address, etc.); or using someone else's PayPal account. • Harass and/or threaten our employees, agents, or other users. • Abuse of our online dispute resolution process and/or PayPal’s Buyer Protection program and/or PayPal’s Seller Protection program. • Cause us to receive a disproportionate number of claims that have been closed in favor of the claimant regarding your PayPal account or business. • Have a credit score from a credit reporting agency that indicates a high level of risk associated with your use of the PayPal services. • Use a credit card with your PayPal account to provide yourself with a cash advance (or help others to do so). • Disclose or distribute another user's information to a third party, or use such information for marketing purposes unless you receive the user's express consent to do so. • Send unsolicited email to a user or use the PayPal services to collect payments for sending, or assisting in sending, unsolicited email to third parties. • Copy, reproduce, communicate to any third party, alter, modify, create derivative works, publicly display or frame any content from the PayPal website(s) without our or any applicable third party's written consent. • Reveal your account password(s) to anyone else, nor may you use anyone else's password. We are not responsible for losses incurred by you including, without limitation, the use of your account by any person other than you, arising as the result of misuse of passwords. • Do, or omit to do, or attempt to do or omit to do, any other act or thing which may interfere with the proper operation of the PayPal service or activities carried out as part of PayPal services or otherwise than in accordance with the terms of this user agreement. • Request or send a personal transaction payment for a commercial transaction. • Allow your use of the PayPal service to present to PayPal a risk of non- compliance with PayPal's anti-money laundering, counter terrorist financing and similar regulatory obligations (including, without limitation, where we cannot verify your identity or you fail to complete the steps to lift your sending, receiving or withdrawal limit or where you expose PayPal to the risk of any regulatory fines by European, US or other authorities for processing your transactions). • Integrate or use any of the PayPal services without fully complying with all mandatory requirements communicated to you by way of any integration or programmers' guide or other documentation issued by PayPal from time to time. • Advertise, promote, introduce or describe PayPal Credit or any PayPal co-branded credit based payment instrument to your customers without: (1) obtaining the necessary regulatory permission to do so in advance; and (2) the prior written permission of PayPal and (if not PayPal) the issuer of the credit to do so. • Suffer (or cause us to determine that there is a reasonable likelihood of) a security breach of your website or systems that could result in the unauthorized disclosure of customer information. You agree that engaging in the above restricted activities diminishes your or our other customers' safe access and/or use of your account and our services generally.
