Prohibited Liens and Filings. That it will not pledge, mortgage, or otherwise encumber, create, or suffer a security interest to exist in any of the Collateral (other than pursuant to this Security Agreement and Permitted Encumbrances) or sell, assign, or otherwise transfer any of the Collateral to anyone other than the Agent and the Lenders as provided herein, unless otherwise permitted by the Loan Agreement, or file or permit to be filed any financing statement or other security instrument with respect to the Collateral other than in favor of the Agent and the Lenders as provided herein.
