PROHIBITION AGAINST ASSIGNMENT AND SUBCONTRACTING. Except as specifically authorized herein, no rights under this Agreement may be assigned and no duties may be delegated or subcontracted by one party without the prior written consent of the other party, and any attempted assignment, subcontracting or delegation without such consent shall be void and will terminate this Franchise Agreement. Consent to assignment or delegation shall not be unreasonably withheld.
