Common use of PROHIBITION AGAINST ASSIGNMENT AND SUBCONTRACTING Clause in Contracts

PROHIBITION AGAINST ASSIGNMENT AND SUBCONTRACTING. It is understood and agreed that City has chosen Contractor based on Contractor’s qualifications to perform services of the nature contemplated by this Agreement. Accordingly, Contractor shall not assign, transfer, subcontract or otherwise dispose of any of its obligations pursuant to this Agreement without first obtaining the written consent of City, which consent may be withheld if City, in its sole opinion, considers that it is not in its best interests, economic or otherwise, to do so. City may, at its option and at any time, assign this Agreement, in whole or in part. City shall promptly notify Contractor in writing of any such assignment, unless such assignment is to an affiliate of City. In the event City assigns this Agreement, it shall be relieved of all financial responsibility related to the portion of this Agreement so assigned.
