Common use of PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS Clause in Contracts

PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS. Except as specifically authorized under this Agreement, the services to be provided pursuant to this Agreement shall not be assigned, transferred, contracted or subcontracted out without the prior written approval of the City of Anaheim. The sale, assignment, transfer or other disposition of any of the issued and outstanding capital stock of Contractor that results in changing the control of Contractor shall be considered an assignment. Control means fifty percent (50%) or more of the voting power, or twenty-five percent (25%) or more of the assets of the corporation.
