Common use of Prohibition on Unauthorized Use or Disclosure of FERPA Records Clause in Contracts

Prohibition on Unauthorized Use or Disclosure of FERPA Records. Contractor will hold University FERPA Records in strict confidence. Contractor will not use or disclose FERPA Records received from or on behalf of University, including any FERPA Records provided by a University student directly to Contractor, except as permitted or required by the Underlying Agreement or this Addendum.

Contractor will not use or disclose FERPA Records received from or on behalf of UniversityInstitution, including any FERPA Records provided by a University an Institution’s student directly to Contractor, except as (i) explicitly permitted or required by the Underlying Agreement or this FERPA Addendum, (ii) required by law, or (iii) authorized by Institution in writing. Upon Institution’s request, any FERPA Records held by Contractor will be made available to Institution.
