Prohibition on Unauthorized Use or Disclosure. Business Associate will neither use nor disclose Company Protected Health Information, except as permitted or required by this Agreement or as permitted or directed by Company or as Required by Law. This Agreement does not authorize Business Associate to use or disclose Company Protected Health Information in a manner that would violate the Privacy Rule or the HITECH Act if done by Company, except as set forth in Section 1(a)(ii).

This Agreement does not authorize Business Associate to use or disclose Company Health Plan’s Protected Health Information in a manner that would will violate the Privacy Rule or the HITECH Act Security Rule if done by CompanyHealth Plan, except as set forth in Section 1(a)(ii).

This Agreement Addendum does not authorize Business Associate to use or disclose Company Organization’s Protected Health Information in a manner that would will violate the 45 C.F.R. Part 164, Subpart E “Privacy Rule or the HITECH Act of Individually Identifiable Health Information” (“Privacy Rule”) if done by CompanyOrganization, except as set forth in Section 1(a)(ii)1(a) (ii) of this Addendum.
