Project Abandonment. If for any reason Fulcrum abandons development and construction of the Facility, Fulcrum shall provide prompt written notice thereof to Supplier, whereupon this Agreement shall immediately terminate and no Party shall have any continuing obligations or liabilities to the other except as set forth in Section 10.16.
