Common use of Project Approvals Clause in Contracts

Project Approvals. (a) Except as set forth on Schedule 8.20A hereto, the Borrower has obtained all Project Approvals. All Project Approvals obtained by the Borrower are listed and described on Schedule 8-20B hereto, have been validly issued and are in full force and effect. The Borrower has no reason to believe that any of the Project Approvals not heretofore obtained by the Borrower will not be obtained by the Borrower in the ordinary course following Project Completion in accordance with the Plans and Specifications. No Project Approvals will terminate, or become void or voidable or terminable, upon any sale, transfer or other disposition of the Project, including any transfer pursuant to foreclosure sale under the Mortgage. (b) The Borrower will promptly obtain all Project Approvals not heretofore obtained by the Borrower (including those listed and described on Schedule 8.20A hereto and any other Project Approvals which may hereafter become required, necessary or desirable) and will furnish the Lender with evidence that the Borrower has obtained such Project Approvals promptly upon its request. (c) The Borrower will duly perform and comply with all of the terms and conditions of all Project Approvals obtained at any time, including all Project Approvals listed and described on Schedules 8.20A and 8.20B hereto.

No To Borrower’s knowledge, no Project Approvals will terminate, or become void or voidable or terminable, upon any sale, transfer or other disposition of the Project, including any transfer pursuant to foreclosure sale under the MortgageDeed of Trust. (b) The Borrower will promptly obtain all All Project Approvals not heretofore been obtained by Borrower but which, to Borrower’s knowledge will be required, necessary or desirable for the Borrower (including those satisfactory construction of the Improvements in accordance with the Plans and Specifications are also listed and described on Schedule 8.20A hereto and 8.20 hereto. Borrower will promptly obtain such Project Approvals, as well as any other Project Approvals which that may hereafter become required, necessary or desirable) , as determined by Borrower, and will furnish the Lender Agent with evidence that the Borrower has obtained such Project Approvals promptly upon its request. (c) The Borrower will duly perform and comply in all material respects with all of the terms and conditions of all Project Approvals obtained at any timetime including, including without limitation, all Project Approvals listed and described on Schedules 8.20A and 8.20B Schedule 8.20 hereto.

Project Approvals. (a) Except for any certificates of occupancy required for the Renovation Project or as otherwise set forth on Schedule 8.20A 3 hereto, the Borrower has obtained all Project Approvals. All Project Approvals obtained by the Borrower are listed and described on Schedule 8-20B 4 hereto, have been validly issued and are in full force and effect. The Borrower has no reason to believe that any of the Project Approvals not heretofore obtained by the Borrower will not be obtained by the Borrower in the ordinary course following Project Completion in accordance with the Plans and Specifications. No Project Approvals will terminate, or become void or voidable or terminable, upon any sale, transfer or other disposition of the ProjectSite or Improvements, including any transfer pursuant to foreclosure sale under the MortgageSecurity Deed. (b) The Borrower will promptly obtain all Project Approvals not heretofore obtained by the Borrower (including those listed and described on Schedule 8.20A 3 hereto and any other Project Approvals which may hereafter become required, necessary or desirable) and will furnish the Lender with evidence that the Borrower has obtained such Project Approvals promptly upon its request. If an outside date is set forth on Schedule 3 as a deadline for Borrower to obtain a specific Project Approval, Borrower shall obtain the issuance of such Project Approval by such deadline date. (c) The Borrower will duly perform and comply with all of the terms and conditions of all Project Approvals obtained at any time, including all Project Approvals listed and described on Schedules 8.20A 3 and 8.20B 4 hereto.
