Common use of Project Co’s Options Clause in Contracts

Project Co’s Options. After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement until the Authority has remedied such Authority Event of Default and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension; (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f), terminate this Agreement by notice to the Authority.

Project Co’s Options. After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations or the Funding Agreement until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement or the Funding Agreement until the Authority has remedied such Authority Event of Default and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspensioneffect; (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f), terminate this Agreement by notice to the Authority.

Project Co’s Options. After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option option, exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and each School Target Service Commencement Date, each School Longstop Date, the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility School Move-in Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement until the Authority has remedied such Authority Event of Default and each School Target Service Commencement Date, each School Longstop Date, the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility School Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension; (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f), terminate this Agreement by notice to the Authority.

Project Co’s Options. ‌ After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Project Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement until the Authority has remedied such Authority Event of Default and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Project Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension; (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f13.1(e), terminate this Agreement by notice to the Authority.

Project Co’s Options. After the occurrence of an Authority Owner Event of Default and while an Authority Owner Event of Default is continuing, Project Co may, at its option exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations until such time as the Authority Owner has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the Target Service Commencement Date, Date and the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority Owner Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement until the Authority Owner has remedied such Authority Owner Event of Default and the Target Service Commencement Date, Date and the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension; (c) in the case of an Authority Owner Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority Owner of the occurrence specifying details of such Authority Owner Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority Owner or otherwise within 20 Business Days of such notice (or in the case of an Authority Owner Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority Owner to rectify or remedy such Authority Owner Event of Default as long as the Authority Owner is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority Owner terminating this Agreement with immediate effect; or (d) in the case of an Authority Owner Event of Default under Section 13.1(d), 13.1(e) or 13.1(f), terminate this Agreement by notice to the AuthorityOwner.

Project Co’s Options. After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Final Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations under this Agreement until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the each relevant Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement until the Authority has remedied such Authority Event of Default and the each relevant Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspensioneffect; (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f), terminate this Agreement by notice to the Authority.

Project Co’s Options. After the occurrence of an Authority PUC Event of Default and while an Authority PUC Event of Default is continuing, Project Co may, at its option exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations until such time as the Authority PUC has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the Target Service Commencement Date, Date and the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority PUC Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement until the Authority PUC has remedied such Authority PUC Event of Default and the Target Service Commencement Date, Date and the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension; (c) in the case of an Authority PUC Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority PUC of the occurrence specifying details of such Authority PUC Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority PUC or otherwise within 20 10 Business Days of such notice (or in the case of an Authority PUC Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority PUC to rectify or remedy such Authority PUC Event of Default as long as the Authority PUC is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority PUC terminating this Agreement with immediate effect; oreffect in which case compensation on termination shall be payable by PUC to Project Co in accordance with the terms of Section 2 of Schedule 9 (Compensation on Termination); (d) in the case of an Authority a PUC Event of Default under Section 13.1(a) take such action pursuant to the Security as it deems necessary or desirable; or (e) in the case of an PUC Event of Default under Sections 13.1(c) and 13.1(d), 13.1(e) or 13.1(f), terminate this Agreement by notice to PUC in which case compensation on termination shall be payable by PUC to Project Co in accordance with the Authorityterms of Section 2 of Schedule 9 (Compensation on Termination).

Project Co’s Options. After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement until the Authority has remedied such Authority Event of Default and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension; (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f), terminate this Agreement by notice to the Authority.

Project Co’s Options. After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement System Completion Date, suspend performance by it of its Design and Construction obligations under this Project Agreement but not suspend performance by it of its Services obligations until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Project Agreement and the Target Service Commencement Site Completion Dates, Target Ring Completion Dates, Target System Completion Date, the Outside Ring Completion Dates and Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect; (b) in the case of an Authority Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Project Agreement until the Authority has remedied such Authority Event of Default and the Target Service Commencement Site Completion Dates, Target Ring Completion Dates, Target System Completion Date, the Outside Ring Completion Dates and Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension; (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days 45 days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Project Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f), terminate this Project Agreement by notice to the AuthorityAuthority with immediate effect.

Project Co’s Options. ‌ After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option option, exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Substantial Completion Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the Target Service Commencement CPPS Substantial Completion Date and/or the Target SFB Expansion Substantial Completion Date and/or the Target New Tower‌ Substantial Completion Date, the Longstop Date and the relevant dates for move-in as set out in the Facility Move-in Schedule Schedules will be extended by the time such suspension is in effect; (b) in the case of an Authority Event of Default under Section 13.1(a) (Authority Events of Default), suspend performance by it of its obligations under this Agreement until the Authority has remedied such Authority Event of Default and the Target Service Commencement CPPS Substantial Completion Date and/or the Target SFB Expansion Substantial Completion Date and/or the Target New Tower Substantial Completion Date, the Longstop Date and the relevant dates for move-in as set out in the Facility Move-in Schedule Schedules will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension;suspension;‌ (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c) (Authority Events of Default), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) (Authority Events of Default), such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f) (Authority Events of Default), terminate this Agreement by notice to the Authority.

Project Co’s Options. ‌ After the occurrence of an Authority Event of Default and while an Authority Event of Default is continuing, Project Co may, at its option option, exercise one or more of the following, as applicable: (a) in respect of the Design and the Construction prior to the Service Commencement Date, suspend performance by it of its Design and Construction obligations under this Agreement but not suspend performance by it of its Services obligations until such time as the Authority has demonstrated to the reasonable satisfaction of Project Co that it will perform and is capable of performing its obligations under this Agreement and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect;effect;‌ (b) in the case of an Authority Event of Default under Section 13.1(a), suspend performance by it of its obligations under this Agreement until the Authority has remedied such Authority Event of Default and the Target Service Commencement Date, the Longstop Date and the dates for move-in as set out in the Facility Move-in Schedule will be extended by the time such suspension is in effect and such additional time as may be reasonably required to return to normal operations following such suspension;suspension;‌ (c) in the case of an Authority Event of Default under Sections 13.1(a), 13.1(b) or 13.1(c), serve notice on the Authority of the occurrence specifying details of such Authority Event of Default and if the relevant matter or circumstance has not been rectified or remedied by the Authority or otherwise within 20 Business Days of such notice (or in the case of an Authority Event of Default under Section 13.1(b) or 13.1(c) such longer period as is reasonably required for the Authority to rectify or remedy such Authority Event of Default as long as the Authority is diligently pursuing such rectification or remedy), Project Co may serve a further notice on the Authority terminating this Agreement with immediate effect; or (d) in the case of an Authority Event of Default under Section 13.1(d), 13.1(e) or 13.1(f), terminate this Agreement by notice to the Authority.
