Promising Buyer’s Obligation to Indemnify. The Promising Buyer shall indemnify the Promising Sellers, from and against: (i) any Loss arising from not being true and complete in all material respects any representation made by the Promising Buyer in this Agreement; (ii) any Loss arising from any breach of any warranty made by the Promising Buyer in this Agreement; and (iii) any Loss arising from any breach of any covenant made by the Promising Buyer in this Agreement different from those covered by Clause 8.1(a) hereof. The Promising Buyer’s obligation to indemnify shall be subject to the following rules:
