Promotion Plan. From time to time, but in no event less than once a year, the Joint Marketing Team shall develop and formulate a written Promotion Plan for specified periods, which shall set forth promotion and detailing strategies relating to the Product.

Promotion Plan. Section 1. The promotion plan agreed to by the parties will be referenced under this article, with the understanding that the specific provisions of the plan are included under Addendum No. 2. It is understood that management rights as contained in Article 4, Section 2E of the CBA dated July 1, 2010 is a right retained by the City of Duncan, Oklahoma, not withstanding any agreement contained in the 2011 FY Collective Bargaining Agreement which has an effective date of January 1st, 2011. It is further agreed that this right will be retained on the termination of the 2011 FY CBA. It is further agreed that the City of ▇▇▇▇▇▇ will fill the position of Assitant Chief that was vacated on July 29, 2009. That said position will be filled pursuant to Article 26 and Addendum 2 Sections 1-11 and Section 13 of this contract. It is understood that this agreement does not create an obligation regarding Section 12 (Major), Section 14(Fire Inspector) or Section 15 (Fire Marshal) of Addendum 2. Further this agreement does not alter Section 17 of Addendum 2.
Section 2. It is agreed that subsequent to an assistant chief being named, all vacant budgeted positions that will have been created as a result of the promotion will be posted within 30 days and pursuant to Article 26 as well as Addendum 2 of the Collective Bargaining Agreement said vacant positions will be filled within 90 days if possible. The parties agree that Addendum No. 2 Section 5 will be controlling where an eligibility list remains in force and effect.
Section 3. The parties agree that open positions will be filled when and if the City of Duncan’s application for the FEMA funded SAFER Grant is awarded.
Promotion Plan. Appropriate representatives from each Party will jointly prepare the initial Promotion Plan and provide it to the JSC for review, comment, and approval prior to Kowa initiating its Promotion and Detailing activities hereunder. By no later than December 15 of the first Year, the JSC shall review, comment on (if applicable), and approve any modifications to the initial Promotion Plan for the second Year of the Term, and shall thereafter update such Promotion Plan in accordance with Section 3.2(h) each Year thereafter that Kowa is Promoting and Detailing the Product. For clarity, the Promotion Plan will include a plan for Detailing of the Product by the Kowa Sales Representatives and Amarin Sales Representatives to Targets that will permit the Parties to satisfy their minimum PDE obligations under Section 4.4.1(a) or 4.4.2(a), as applicable. Promotion Plan. Subject to Section 4.1:
Promotion Plan. 2.2.1 The Alliance Manager(s) shall oversee the preparation and performance of the Promotion Plan generally.
2.2.2 The Promotion Plan shall include, as applicable:
(a) general strategies, consistent with applicable VIVUS written guidance for the Promotion of the Product in the Territory; Applicable Law, the KADMON Policies and the VIVUS Policies for performing the KADMON Agreement Activities; and
(b) such other matters agreed by the Parties in writing.
2.2.3 KADMON shall have the sole responsibility and discretion with respect to determining the priority of the Product presentation among KADMON’s other promoted pharmaceutical products and the deployment of the KADMON Sales Representatives.

A final draft of the Promotion Plan for Year 1 will be approved by the Management Steering Committee within 30 days of the Effective Date based on the initial draft of the Detailing Plan to be agreed by the Parties in writing on or about the Effective Date. The Promotion Plan shall be amended from time to time as determined necessary by either the Management Steering Committee or the Marketing Committee, with any such amendment to be approved by the Management Steering Committee. The Promotion Plan shall include, among other things, the Detailing Plan and Marketing Plan.
Promotion Plan. ICP shall use its best efforts to prominently and regularly promote AOL and the Online Area in publications, programs, features or other forms of media not specifically addressed elsewhere in this Section 4 over which ICP exercises at least partial editorial control. When promoting AOL, ICP shall promote AOL as the preferred access provider through which a user can access ICP's Content (and ICP shall not implement or authorize any other promotions on behalf of any third parties which are inconsistent with the foregoing).
