Prompt Payment of Subcontractors. 42.1 The Contractor shall ensure that all subcontractors, including any Minority Business Enterprise (MBE) subcontractors if applicable, are promptly paid any undisputed amount to which the subcontractor is entitled. An undisputed amount is an amount owed by a contractor to a subcontractor for which there is no good faith dispute, including any retainage withheld, if any, and includes an amount withheld because of issues arising out of an agreement or occurrence unrelated to the agreement under which the amount is withheld.
