Common use of Proof of Execution by Holders Clause in Contracts

Proof of Execution by Holders. Subject to the provisions of Section 6.01, 6.02 and 8.05, proof of the execution of any instrument by a Holder or his or her agent or proxy shall be sufficient if made in accordance with such reasonable rules and regulations as may be prescribed by the Debt Trustee or in such manner as shall be satisfactory to the Debt Trustee. The ownership of Debt Securities shall be proved by the Security Register or by a certificate of the Security Registrar. The Debt Trustee may require such additional proof of any matter referred to in this Section as it shall deem necessary. The record of any Holders' meeting shall be proved in the manner provided in Section 8.06.

The ownership of Debt Securities shall be proved by the Security Register registry books of the Company or by a certificate of the Security Registrar. The Debt Trustee may require such additional proof person designated by the Company to act as repository in accordance with the provisions of any matter referred to in this Section as it shall deem necessary2.06.
