Common use of Proof of Execution by Securityholders Clause in Contracts

Proof of Execution by Securityholders. Subject to the provisions of Section 8.5, proof of the execution of any instrument by a Securityholder or such Securityholder’s agent or proxy shall be sufficient if made in such manner as shall be satisfactory to the Company. The ownership of Debt Securities shall be proved by the Debt Security Register or by a certificate of the Debt Security registrar. The Company may require such additional proof of any matter referred to in this Section as it shall deem necessary. The record of any Securityholders’ meeting shall be proved in the manner provided in Section 8.6.
