Common use of Properties; No Recovery Event Clause in Contracts

Properties; No Recovery Event. (a) All Real Property owned or leased by the Company or any of its Domestic Subsidiaries as of the Restatement Effective Date, and the nature of the interest therein, is set forth in Schedule 6.12. Each of the Company and each of its Subsidiaries has good and marketable title to all material properties owned by it, and a valid leasehold interest in all material property leased by it, including (in each case) all material property reflected in the most recent historical balance sheets referred to in Section 6.05(a) (except as sold or otherwise disposed of since the date of such balance sheet in the ordinary course of business or as permitted by the terms of this Agreement), free and clear of all Liens, other than Permitted Encumbrances. (b) Neither the Company nor any Subsidiary has received any notice of, nor has any knowledge of, the occurrence or pendency or contemplation of any casualty or condemnation affecting all or any portion of its property.
