Proportionate Interests in Seadrill Capricorn Holdings. The proportions of the equity interests contributed to Seadrill Capricorn Holdings by each of Seadrill and the Company under Section 2.7 are such that, following those contributions and the contribution of IPO proceeds described in Section 3.4(c) by the Company to Seadrill Capricorn Holdings, Seadrill and the Company, respectively, will own 49% and 51% limited liability company interests in Seadrill Capricorn Holdings.
