Common use of Proprietary and Confidential Clause in Contracts

Proprietary and Confidential. All materials, software and tools which are developed or were originally acquired by Contractor outside the scope of this Contract, which Contractor desires to use hereunder, and which Contractor considers to be proprietary or confidential, must be specifically identified by Contractor to County Project Director as proprietary or confidential, and be plainly and prominently marked by Contractor as “PROPRIETARY” or “CONFIDENTIAL”, if applicable. Notwithstanding any other provision of this Contract, the County will not be obligated in any way under this Contract for: a. Any disclosure of any materials which the County is required to make under the California Public Records Act or otherwise by any state or federal law or order of court, or b. Any Contractor’s proprietary and/or confidential materials not plainly and prominently marked with restrictive legends.
