Common use of Proprietary Information Agreements Clause in Contracts

Proprietary Information Agreements. The Company agrees to require each employee of the Company to execute a standard Proprietary Information Agreement and each consultant and advisor of the Company to execute an agreement that provides for confidential treatment of the Company’s proprietary information and the assignment of inventions developed during such individual’s relationship with the Company, as a condition of employment or consulting relationship or continued employment or consulting relationship, as the case may be, unless otherwise approved by the Board of Directors.

The Company agrees to require each employee of the Company to execute a standard Proprietary Information At-Will Employment, Confidential Information, Invention Assignment and Arbitration Agreement and each consultant and advisor of the Company to execute an agreement that provides for confidential treatment of the Company’s proprietary information and the assignment of inventions developed during such individual’s relationship with the Company, as a condition of employment or consulting relationship or continued employment or consulting relationship, as the case may be, unless otherwise approved by the Board of Directors.

The Company agrees, and agrees to cause each of its subsidiaries, to require each employee of and consultant to the Company to execute a standard Proprietary Information Agreement and each consultant and advisor or any of the Company its subsidiaries to execute an agreement that provides in the form approved by the Board of Directors providing for confidential treatment confidentiality, non-use of the Company’s proprietary Company information and the assignment of inventions developed during such individual’s relationship with to the Company, as a condition of employment by or consulting relationship consultancy to or continued employment by or consulting relationshipconsultancy to the Company, as the case may be, unless otherwise approved determined by the Board of DirectorsDirectors with respect to a particular employee or consultant.
