Prorated Bonus and Continuation Benefits. In addition, if Executive’s employment is terminated: (A) by the Company for a reason other than Cause (as defined in Section 6.3(b) hereof), Disability (as defined in Section 6.4 hereof) or death, or (B) by Executive for Good Reason (as defined in Section 6.2(d) hereof), and such termination constitutes a Separation from Service, the following provisions shall apply:
