Proration of Fees. If the services of Manager commence or terminate for any reason (including, without limitation, those set forth in Paragraph 5 hereof other than on the first day of any calendar month, the Base Management Fee for such partial month shall be prorated based upon the number of days for which services are actually rendered by Manager during such partial month. 9.4
