Common use of PRORATIONS and ACCRUALS Clause in Contracts

PRORATIONS and ACCRUALS. (a) Personal property taxes applicable to the Purchased Assets for the year (or other period) in which the Effective Time occurs shall be prorated as of the Effective Time on the basis of the personal property tax bills for the year 1999. Utility charges for the billing periods in which the Closing occurs will be apportioned between Buyer and Seller based on actual meter readings as of the Effective Time.
