Common use of Prospectus Filed; No Stop Order Clause in Contracts

Prospectus Filed; No Stop Order. The Prospectus shall have been filed with the Commission pursuant to Rule 424(b) under the Securities Act and within the applicable time period prescribed for such filing by the rules and regulations under the Securities Act and in accordance with Section 4(a) of this Agreement. The final term sheet contemplated by Section 4(c) hereof, and any other material required to be filed by the Company pursuant to Rule 433(d) under the Securities Act, shall have been filed with the Commission within the applicable time periods prescribed for such filings by Rule 433 under the Securities Act. No stop order suspending the effectiveness of the Registration Statement or of any part thereof shall have been issued and no proceedings for that purpose shall have been instituted or, to the knowledge of the Company or any Underwriter, shall be threatened by the Commission and no notice of objection of the Commission to the use of the Registration Statement or any post-effective amendment thereto pursuant to Rule 401(g)(2) under the Securities Act shall have been received; no stop order suspending or preventing the use of the Prospectus or any Issuer Free Writing Prospectus shall have been initiated or threatened by the Commission; and all requests for additional information on the part of the Commission shall have been complied with to the Representatives’ reasonable satisfaction.

The Canadian Final Prospectus shall have been filed with the Qualifying Authorities under the Shelf Procedures and the U.S. Final Prospectus shall have been filed with the Commission pursuant to Rule 424(b) under the Securities Act and within the applicable time period prescribed for such filing by the rules and regulations under the Securities Act General Instruction II.L of Form F-10 and in accordance with Section 4(a) of this Underwriting Agreement. The final term sheet contemplated by Section 4(c) hereof, and any other material required to be filed by the Company pursuant to Rule 433(d) under the Securities Act, shall have been filed with the Commission within the applicable time periods prescribed for such filings by Rule 433 under the Securities Act. No At the Closing Date, (i) no stop order suspending the effectiveness of the Registration Statement or of any part thereof shall have been issued and no proceedings for that purpose shall have been instituted or, to the knowledge of the Company or any Underwriter, shall be threatened by the Commission and no notice of objection of the Commission to the use of the Registration Statement or any post-effective amendment thereto pursuant to Rule 401(g)(2Commission; (ii) under the Securities Act shall have been received; no stop order suspending or preventing the use of the Prospectus or any Issuer Free Writing Prospectus shall have been initiated or threatened by the Commission; (iii) no order having the effect of ceasing or suspending the distribution of the Offered Securities shall have been issued and no proceedings for that purpose shall have been instituted or pending or, to the knowledge of the Company, threatened by the Qualifying Authorities; and (iv) all requests for additional information on the part of the Qualifying Authorities or the Commission shall have been complied with to the Representatives’ reasonable satisfaction.
