Protection of Holders' Rights. The Servicer hereby agrees with the Company and the Trustee that it shall take no action, nor intentionally omit to take any action, that could reasonably be expected to materially and adversely impair the rights, remedies or interests of the Holders under the Transaction Documents in respect of the Receivables or any Related Property nor shall it reschedule, revise or defer payments due on any Receivable except in accordance with its Policies or Section 4.05 above.
