Provide Access to Information. Prior to the Closing Date, (a) PBBC shall afford to Sleepmaster and Sub, their attorneys, accountants, lenders and representatives (its "Advisors") reasonable access during normal business hours and upon reasonable prior notice to the President of PBBC (provided, that Sleepmaster and Sub and the Advisors will undertake such access in a manner so as not to interfere with the normal business operations of PBBC), to the books and records of PBBC in order that Sub and its Advisors may have full opportunity to make such investigation as they shall reasonably desire of the Business, and (b) PBBC shall provide to Sub and its Advisors such additional financial and operating data and other information as to the Business, as Sleepmaster and Sub or their Advisors shall from time to time reasonably request.

Provide Access to Information. BA agrees to make available to CE, within a reasonable time, PHI in a designated record set as necessary for CE to satisfy its obligations under 45 CFR §164.524. If BA receives a request for access to PHI in a designated record set directly from an individual, BA will promptly forward the individual’s request to CE to fulfill the request.
