Common use of Provider Standard of Care Clause in Contracts

Provider Standard of Care. Subject to Section 1.3, Section 1.4 and Section 9.1 hereof, and any other terms and conditions of this Agreement, Provider shall perform, or have any Representative or third party perform, the Services (a) at a relative level of service (in terms of quantity and quality, subject to increases consistent with the reasonably foreseeable natural growth of the Recipient’s business) substantially similar to the services provided during the twelve (12) months prior to the Closing and (b) in compliance with all applicable Law; provided, further, that notwithstanding the foregoing, the service levels set forth in Annex B shall apply with respect to the Services referenced therein.
