PROVISIONS CONSTITUTING SUBLEASE. (a) This Sublease is subject to all of the terms and conditions of the Lease in Exhibit A and Sublessee shall assume and perform the obligations of Sublessor and Lessee in said Lease, to the extent said terms and conditions are applicable to the premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises any act or omission which shall violate any term or condition of the Lease. In the event of the termination of Sublessor's interest as Lessee under the Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) All of the terms and conditions contained in the Lease in Exhibit A are incorporated herein as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

In the event of the termination of Sublessor's interest as Lessee under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) b. All of the terms and conditions condition contained in the Master Lease in Exhibit A are incorporated herein except for paragraphs ____ as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee lessee to be deemed to refer to Sublessor and Sublessee) and along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

Sublessee shall not commit or permit to be committed on the subleased premises Premises any act or omission which shall violate any term or condition of the Master Lease. In the event of the termination of Sublessor's interest as Lessee under the Master Lease for any reason, then this Sublease shall terminate coincidentally coincidently therewith without any liability of Sublessor to Sublessee. (b) All of the terms and conditions contained in the Lease in Exhibit A Master Lease are incorporated herein herein, as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and and, along with all of the following paragraphs Sections set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

(a) This Sublease is subject to all of the terms and conditions of the Lease in Exhibit A A, except as specifically exempted herein and Sublessee shall assume and perform the obligations of Sublessor and as Lessee in said Lease, to the extent said terms and conditions are applicable to the premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises any act or omission which shall violate any term or condition of the Lease. In the event of the termination of Sublessor's ’s interest as Lessee under the Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) All of the terms and conditions contained in the Lease in Exhibit A A, are incorporated herein except for paragraphs herein, as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

This Sublease is subject to all of the terms and conditions of the Master Lease in Exhibit A 'A' and Sublessee shall assume and perform the obligations of Sublessor and the Lessee in said Master Lease, to the extent said terms and conditions are applicable to the premises Premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises Premises any act or omission which shall violate any term or condition conditions of the Master Lease. In the event of the termination of Sublessor's interest as Lessee under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) B. All of the terms and conditions contained in the Master Lease in Exhibit A are incorporated herein except for paragraphs 1, 2, 3, 4A, 4B, 29 and 30 as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

PROVISIONS CONSTITUTING SUBLEASE. (a) a. This Sublease sublease is subject to all of the terms and conditions of the Master Lease in Exhibit A "A" and Sublessee shall assume and perform the obligations of Sublessor and the Lessee in said Master Lease, to the extent said terms and conditions are applicable to the premises Premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises Premises any act or omission which shall violate any term or condition of the Master Lease. In the event of the termination of Sublessor's obligations and interest as a Lessee under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without Sublessor incurring any liability of Sublessor as a result thereof to Sublessee. Sublessor has no obligation to renew its contract under the Master Lease. (b) b. All of the terms and conditions contained in the Master Lease in Exhibit A are incorporated herein as herein. In the event of any express conflict between the terms and conditions of in this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and along with all of those set forth in the following paragraphs set out in this SubleaseMaster Lease, the latter shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04control.

PROVISIONS CONSTITUTING SUBLEASE. (a) This Sublease is subject to all of the terms and conditions of the Master Lease in Exhibit A and Sublessee shall assume and perform the obligations of Sublessor and Lessee in said Master Lease, to the extent said terms and conditions are applicable to the premises Premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises Premises any act or omission which that shall violate any term or condition of the Master Lease. In the event of the termination of Sublessor's interest as Lessee under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) All of the terms and conditions contained in the Lease in Exhibit A Master Lease are incorporated herein herein, except for Paragraph 4 (Rent) and Paragraph 6 (Security Deposit) and any other paragraph that contradicts the terms of the Master Lease. Said terms and provisions of the Sublease document shall supersede the terms of the Master Lease as terms and conditions of this Sublease (with each reference referenced therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and and, along with all of the following paragraphs Sections set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

PROVISIONS CONSTITUTING SUBLEASE. (a) This Sublease is subject to all of the terms and conditions of the Lease in attached as Exhibit A and Sublessee shall by the execution of this Sublease assume and perform the obligations of Sublessor and Lessee in said Leaselease, to the extent said terms and conditions are applicable to the premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises any act or omission which shall violate any term terms or condition conditions of the Lease. In the event of the termination of Sublessor's interest as Lessee under the Lease for any reasonLease, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor or Lessor to Sublessee. (b) All of the terms and conditions contained in the Lease in attached as Exhibit A A, are incorporated herein except for paragraph 4.1 as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and along with all of the following paragraphs paragraph set out in this the Sublease, shall be he the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

PROVISIONS CONSTITUTING SUBLEASE. (a) This Sublease shall be of no force and effect unless and until the Landlord under the Master Lease shall grant its consent in writing thereto and this Sublease is subject to all of the terms and conditions of the Master Lease in Exhibit A except as specifically exempted herein and Sublessee shall assume and perform the obligations of Sublessor and Lessee as Tenant in said Lease, Master Lease to the extent said terms and conditions are applicable to the premises subleased pursuant to this Sublease. Sublessee Sublessor shall not commit or permit to be committed on the subleased Subleased premises any act or omission which shall violate any term or condition of the LeaseMaster Lease or interfere with Sublessee's quiet enjoyment of the premises. In the event of the termination of Sublessor's interest as Lessee Tenant under the Master Lease for any reasonreason outside the reasonable control of Sublessor, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) . All of the terms and conditions contained in the Master Lease in Exhibit A are incorporated herein except articles 3.1, 3.4, 4.1, 10, 11, 48.1, 53, and Exhibits "B," "B-1" &"C," as terms and conditions of this Sublease (with each reference therein to Lessor Landlord and Lessee Tenant to be deemed to refer to Sublessor and Sublessee) and and, along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

PROVISIONS CONSTITUTING SUBLEASE. (a) This Sublease is subject to all of the terms and conditions of the Master Lease in Exhibit A A, except as specifically exempted herein and Sublessee shall assume and perform the obligations of Sublessor and Lessee Tenant in said Master Lease, to the extent said terms and conditions are applicable to the premises subleased pursuant to this Sublease. Sublessee shall not commit or nor permit to be committed on the subleased premises any act or omission which shall violate any term or condition of the Master Lease. In the event of the termination of Sublessor's interest as Lessee Tenant under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) All of the terms and conditions contained in the Master Lease in Exhibit A are incorporated herein herein, except for paragraphs N/A , as terms and conditions of this Sublease (with each reference therein to Lessor Landlord and Lessee Tenant to be deemed to refer to Sublessor and Sublessee) and along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

PROVISIONS CONSTITUTING SUBLEASE. (a) This Sublease is subject to all of the terms and conditions of the Lease in Exhibit A EXHIBIT A, including all amendments, if any (collectively the "Lease"), and Sublessee shall assume and perform the obligations of Sublessor and as Lessee in said Lease, Lease to the extent said terms and conditions are applicable to the premises Premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises Premises any act or omission which shall violate any term or condition of the Lease. In the event of the termination of Sublessor's interest as Lessee under the Lease for any reasonreason (including voluntary termination pursuant to paragraph 4 below), then this Sublease shall terminate coincidentally simultaneously therewith without any liability of Sublessor to Sublessee. Sublessor shall use its best efforts to prohibit the Lease from being terminated as a result of its direct actions or inactions other than it's exercise of the termination option as hereinbelow described. (b) All of the terms and conditions contained in the Lease in Exhibit A are incorporated herein herein, as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) ), and along with all of the following paragraphs set out in this Sublease, Sublease shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

PROVISIONS CONSTITUTING SUBLEASE. (a) This Sublease sublease is subject to all of the terms and conditions of the Master Lease in Exhibit A "A" and Sublessee Sublessor shall assume and perform the obligations of Sublessor and the Lessee in said Master Lease, to the extent said terms and conditions are applicable to the premises Premises subleased pursuant to this Sublease. Neither Sublessor or Sublessee shall not commit or permit to be committed on the subleased premises Premises any act or omission omission, which shall violate any term terms or condition of the Master Lease. In the event of the termination of Sublessor's interest as Lessee under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) All Sublessee other than those remedies provided by the Security Deposit/Escrow Account, which would provide the payment of the terms and conditions contained in remaining balance of the Lease in Exhibit A are incorporated herein as Escrow Account to DPSS Lasers, Inc. As terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

PROVISIONS CONSTITUTING SUBLEASE. (a) This Sublease is subject to all of the terms and conditions of the Master Lease (dated October 1, 1994 and First Amendment dated October 10, 1995) in Exhibit A and Sublessee shall assume and perform the obligations of Sublessor and Lessee in said Master Lease, to the extent said terms and conditions are applicable to the premises Premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises Premises any act or omission which shall violate any term or condition of the Master Lease. In the event of the termination of Sublessor's interest as Lessee under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. (b) All of the terms and conditions contained in the Lease in Exhibit A Master Lease and First Amendment to Lease are incorporated herein herein, except for those terms and conditions in this Sublease which supersede the Master Lease and first Amendment to Lease, as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) and and, along with all of the following paragraphs Sections set out in this Sublease, shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.

PROVISIONS CONSTITUTING SUBLEASE. (a) 2.1. This Sublease is subject to all of the terms and conditions of the Master Lease in Exhibit A "A", except for Sections 1.4, 1.6, 1.8, 1.9, 15, and 50, and Sublessee shall assume and perform the obligations of Sublessor and as Lessee in said Lease, under the Master Lease to the extent said such terms and conditions are applicable to the premises Premises subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased premises Premises any act or omission which shall violate any term or condition of the Master Lease. In the event of the termination of Sublessor's interest as Lessee under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to SublesseeSublcssee. (b) 2.2. All of the terms and conditions contained in the Master Lease in Exhibit A are incorporated herein herein, as terms and conditions of this Sublease (with each reference therein to Lessor and Lessee to be deemed to refer to Sublessor and Sublessee) ), and along with all of the following paragraphs set out in this Sublease, Sublease shall be the complete terms and conditions of this Sublease, excluding Paragraphs 1.07 and 4.04.
