Common use of PROVISIONS CONSTITUTING SUBLEASE Clause in Contracts

PROVISIONS CONSTITUTING SUBLEASE. This Sublease is subject to all of the terms and conditions of the Lease in Exhibit A, and Sublessee assumes and agrees to perform the obligations of Tenant in said Lease, to the extent, but only to the extent, said terms and conditions are applicable to the Sublease Premises (as hereinafter defined) subleased pursuant to this Sublease. All of the terms and conditions of the Lease in Exhibit A are incorporated herein as terms and conditions of this Sublease (except as otherwise provided herein, with each reference therein as modified in this Sublease Agreement to Landlord and Tenant to be deemed to refer to Tenant/Sublessor and Sublessee) and along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease. In the event of the termination of Tenant/Sublessor's interest as Tenant under the Lease for any reason this Sublease shall terminate simultaneously therewith. Sublessee shall not commit or permit to be committed on the Sublease Premises any act or omission which shall violate any term or condition of the Lease. Tenant/Sublessor hereby covenants and agrees that it shall at all times satisfy and comply with all of the terms and provisions of the Lease.

This Sublease shall be of no force and effect unless and until the Lessor/Landlord under the Master Lease shall grant its consent in writing thereto and this Sublease is subject to all of the terms and conditions of the Master Lease in Exhibit A, except as specifically exempted herein and Sublessee assumes shall assume and agrees to perform the obligations of Sublessor as Lessee/Tenant in said Lease, Master Lease to the extent, but only to the extent, extent said terms and conditions are applicable to the Sublease Premises (as hereinafter defined) subleased pursuant to this Sublease. Sublessee shall not commit or permit to be committed on the subleased Premises any act or omission which shall violate any term or condition of the Master Lease. In the event of the termination of Sublessor’s interest as Lessee/Tenant under the Master Lease for any reason, then this Sublease shall terminate coincidentally therewith without any liability of Sublessor to Sublessee. All of the terms and conditions of contained in the Master Lease in Exhibit A are incorporated herein except in paragraph 12 as terms and conditions of this Sublease (except as otherwise provided herein, with each reference therein as modified in this Sublease Agreement to Lessor/Landlord and Lessee/Tenant to be deemed to refer to Tenant/Sublessor and Sublessee) and along with all of the following paragraphs set out in this Sublease, shall be the complete terms and conditions of this Sublease. In cases of any conflicts between the event terms of this Sublease and the terms of the termination of Tenant/Sublessor's interest as Tenant under Master Lease, the Lease for any reason this Sublease shall terminate simultaneously therewith. Sublessee shall not commit or permit to be committed on the Sublease Premises any act or omission which shall violate any term or condition terms of the Lease. Tenant/Sublessor hereby covenants and agrees that it Master Lease shall at all times satisfy and comply with all of the terms and provisions of the Leaseprevail.

In the event of the termination of Tenant/Sublessor's interest as Tenant under the Lease for any reason this Sublease shall terminate simultaneously therewith. Sublessee shall not commit or permit to be committed on the Sublease Premises any act or omission which shall violate any term or condition of the Lease.
