Provisions Independent Clause Samples

The "Provisions Independent" clause establishes that each provision within a contract operates independently from the others. This means that if one provision is found to be invalid, unenforceable, or void, the remaining provisions will still remain in effect and continue to govern the parties' relationship. For example, if a court strikes down a non-compete clause, the confidentiality and payment terms would still apply. Provisions Independent. The covenants on the part of the Participant in this Paragraph C shall be construed as an agreement independent of any other agreement, including any employee benefit agreement, and independent of any other provision of this Agreement, and the existence of any claim or cause of action of the Participant against the Company, whether predicated upon this Agreement or otherwise, shall not constitute a defense to the enforcement by the Company of such covenants.
