Proxies and Other Evidences of Authority. Each Shareholder agrees, as and when requested by the Voting Trustee, to execute and deliver: in respect of any meeting of the shareholders of the Corporation or in respect of any resolution put before shareholders of the Corporation for the purpose of voting thereon, such proxies and other evidences of authority as the Voting Trustee may request, which proxies and other evidences will grant to the Voting Trustee complete discretion in voting the Deposited Shares in respect of all matters which may arise for decision at such meeting and any adjournment thereof or in respect of such resolution; and any consents, approvals or waivers in respect of any matter requiring the consent, approval or waiver of the shareholders of the Corporation pursuant to applicable law or the constating documents of the Corporation.

Each Shareholder agrees and acknowledges that the Plan is the beneficial owners of the Deposited Shares, and as such, as and when requested by the Voting Trustee, the Plan is authorized to execute and deliver: in respect of any meeting of the shareholders of the Corporation or in respect of any resolution put before shareholders of the Corporation for the purpose of voting thereon, such proxies and other evidences of authority as the Voting Trustee may request, which proxies and other evidences will grant to the Voting Trustee complete discretion in voting the Deposited Shares in respect of all matters which may arise for decision at such meeting and any adjournment thereof or in respect of such resolution; and any consents, approvals or waivers in respect of any matter requiring the consent, approval or waiver of the shareholders of the Corporation pursuant to applicable law or the constating documents of the Corporation.
