Proxy Solicitor. If Sovereign requests and agrees to bear the expense thereof, retain a proxy solicitor in connection with the solicitation of Bankers shareholder approval of this Agreement;
Proxy Solicitor. Innes Street shall retain a proxy solicitor in connection with the solicitation of shareholder approval of this Agreement;
Proxy Solicitor. If Mid Penn requests, First Priority shall retain a proxy solicitor in connection with the solicitation of First Priority shareholder approval of this Agreement.
Proxy Solicitor. If requested by Parent, the Company shall engage, at the Company's expense, a proxy solicitor reasonably acceptable to Parent to assist in the solicitation of proxies from stockholders relating to the Merger Vote.

Proxy Solicitor. If Franklin requests and agrees to bear the expense thereof, retain a proxy solicitor in connection with the solicitation of Xxxxxx shareholder approval of this Agreement;
Proxy Solicitor. Alliance Bancorp and SWB shall each retain a proxy solicitor in connection with the solicitation of shareholder approval of this Agreement;
