Proxy Solicitor. If Sovereign requests and agrees to bear the expense thereof, retain a proxy solicitor in connection with the solicitation of Bankers shareholder approval of this Agreement;
Proxy Solicitor. Innes Street shall retain a proxy solicitor in connection with the solicitation of shareholder approval of this Agreement;
Proxy Solicitor. If Univest requests, Fox Chase shall retain a proxy solicitor in connection with the solicitation of Fox Chase shareholder approval of this Agreement. The selection of the Proxy Solicitor shall be at the discretion of Fox Chase, provided it is reasonably acceptable to Univest.
Proxy Solicitor. If requested by Parent, the Company shall engage, at the Company's expense, a proxy solicitor reasonably acceptable to Parent to assist in the solicitation of proxies from stockholders relating to the Merger Vote.
Proxy Solicitor. If Mid Penn requests, First Priority shall retain a proxy solicitor in connection with the solicitation of First Priority shareholder approval of this Agreement.
Proxy Solicitor. CNYF shall retain a proxy solicitor in connection with the solicitation of shareholder approval of this Agreement;
Proxy Solicitor. PFC shall retain a proxy solicitor in connection with the solicitation of shareholder approval of this Agreement;
Proxy Solicitor. Each Party may, and if requested by the other Party shall, retain a proxy solicitor in connection with its meeting of shareholders held to vote on its Proposal.
Proxy Solicitor. First Franklin may, but is under no obligation to, retain a proxy solicitor in connection with the solicitation of stockholder approval of this Agreement;
