Proxy Statement and Other Requisite Filings. (i) As promptly as reasonably practicable following the date of this Agreement, (i) the Company (with the assistance and cooperation of Parent as reasonably requested by the Company) shall prepare a proxy statement (as amended or supplemented, the “Proxy Statement”) in preliminary form relating to the Company Stockholder Meeting (and subject to Section 5.5, the Company shall include the Company Board Recommendation in the Proxy Statement) and (ii) Parent (with the assistance and cooperation of the Company as reasonably requested by Parent) shall prepare and file with the SEC a registration statement on Form S-4, which shall include the Proxy Statement as a prospectus (the “Proxy Statement/Prospectus”), in connection with the registration under the Securities Act of Parent Common Stock to be issued in the Merger (as amended or supplemented, the “S-4”). (ii) As promptly as reasonably practicable following the date on which the S-4 becomes effective, the Company shall use its reasonable best efforts to cause the Proxy Statement/Prospectus to be mailed to the Company Stockholders.
