PubCo Exception. PubCo shall not be entitled to receive, with respect to any Series A Preferred Units that are converted pursuant to a Series A Preferred Conversion, any payment of distributions declared pursuant to Section 5.1(a) if such distribution follows the date on which such Series A Preferred Conversion occurs.
