Common use of Pubco Officers Clause in Contracts

Pubco Officers. The current director of Pubco will adopt resolutions appointing, Qinghuan Wu as Chief Executive Officer, Chief Financial Officer and Treasurer of Pubco and will accept the resignation of Xxxxxxx Xxxxxxxx, which appointment and resignation will be effective on Closing or, if applicable, ten days after the filing of a Schedule 14f-1 in connection with the Transaction.

Pubco Officers. The current director directors of Pubco will adopt resolutions appointing, Qinghuan Wu appointing Xx. Xxx Xxxxxxxxx as the Chief Executive Officer, Mr. Xxxxx Xxxx as the Chief Financial Officer and Treasurer Xx. Xxxxxxx Xxx as the Chief Operation Officer of Pubco and will accept the resignation resignations of Xxxxxxx XxxxxxxxXxxxxx Xxxxxxxx as the sole officer of Pubco, which appointment appointments and resignation resignations will be effective on Closing or, if applicable, ten days after the filing of a Schedule 14f-1 in connection with the TransactionClosing.

The current director directors of Pubco will adopt resolutions appointingappointing two nominees of ARC Investment Partners LLC, Qinghuan Wu Wennan Li (as Chief Executive Officer), Hongpo Li (as Chief Financial Officer Technology Officer), Xxxxxx Xxxx (as Vice-President) and Treasurer Hongjun Shou (as Vice-President) as officers of Pubco and will accept the resignation of Xxxxxxx XxxxxxxxXxxxxx XxXxxxxx, which appointment and resignation will be effective on Closing or, if applicable, ten days after the filing of a Schedule 14f-1 in connection with the Transaction.

The current director directors of Pubco will adopt resolutions appointing, Qinghuan Wu Jxxxxxx Dash (as Chief Executive Officer, acting Chief Financial Officer and Treasurer Treasurer) as officers of Pubco and will accept the resignation resignations of Sxxxxxx XxXxxxxx-Law (as President, Secretary, PEO and PFO) and Kxxxxxxxx Xxxxxxx Xxxxxxxx(Treasurer), which appointment and resignation will be effective on Closing or, if applicable, ten days after the filing of a Schedule 14f-1 in connection with the Transaction.
