Common use of Public Comment Clause in Contracts

Public Comment. The Executive, during the Employment Period and at all times thereafter, shall not make any derogatory comment concerning the Company or any of its current or former directors, officers, stockholders or employees. Similarly, the then current (i) members of the Board and (ii) members of the Company’s senior management shall not make any derogatory comment concerning the Executive, and the Company shall use reasonable efforts to ensure that the former (A) members of the Board and (B) members of the Company’s senior management do not make any derogatory comment concerning the Executive.

Notwithstanding the foregoing, and the Company true statements by any party in response to a derogatory public statement made by another party shall use reasonable efforts not be deemed to ensure that the former (A) members be a violation of the Board and (B) members of the Company’s senior management do not make any derogatory comment concerning the Executivethis Section 9(e).

However, and the Company obligations under this subsection (e) shall use reasonable efforts not apply to ensure that the former (A) members disclosures required by applicable law, regulation, or order of the Board and (B) members of the Company’s senior management do not make any derogatory comment concerning the Executivea court or governmental agency.
