Public Funding. This Project is publicly funded. Any service provider or contractor with which the Recipient contracts must not have any role or relationship with the Recipient, that, in effect, substantially limits the Recipient's ability to exercise its rights, including cancellation rights, under the contract, based on all the facts and circumstances.

Unenforceable Provision In the event that any provision of this Agreement is determined by a court of competent jurisdiction to be unenforceable, the parties agree that all other provisions of this Agreement have force and effect and shall not be affected thereby.
Public Funding. Special Counsel and City mutually recognize that Special Counsel’s services under this Agreement are being paid for with tax dollars from citizens and taxpayers of the City of Richmond, California, and that, given this fact, a heightened duty of care exists in both Special Counsel and City to ensure that Special Counsel scrupulously adheres to principles of moderation, frugality and cost consciousness in carrying forth the goals of this Agreement. Special Counsel and each of its attorneys pledge themselves to scrupulously observe a duty of reasonableness and cost effective representation in all aspects of this Agreement.
Public Funding. Apprise JVC Northwest of the source of any public (federal, state, county, municipal, etc.) funds used to pay the placement fee and verify that the use of such funds is permissible per their own grant restrictions and regulations JVC Northwest is required to submit this information to AmeriCorps with its annual financial report. Public Funding. Buyer’s obligations under this Agreement are expressly contingent on Buyer obtaining from the state or federal government a grant to support at least 50% of the Purchase Price, and upon the Falmouth Town Council voting to appropriate the Buyer’s share of the Purchase Price (the “Public Funding Contingencies”). If any of the Public Funding Contingencies are not met within the Option Term, the Option Consideration shall be refundable and the parties shall be relieved of all further obligations under this Agreement.

For purposes of the foregoing sentence, continuous best efforts shall mean that the parties agree to apply for Public Funding for any one or more of the foregoing permitted uses and purposes if, as and when it is available without regard to priority and whether or not any one or more of the other permitted uses and/or purposes has been funded or is then still unfunded by Public Funding. Notwithstanding any provision of this Agreement, the parties agree that: (i) to the extent that Public Funding is received specifically for one or more of the Publicly Funded Costs, such Public Funding shall be applied against the specific Public Funding Publicly Funded Costs and reduce by the same amounts any liability the party hereto may have for such respective costs, it being the intent of the parties that nothing in this Agreement shall prevent the City and City Entities from at any time applying for and receiving public funding for other purposes and uses. Public Funding. (a) No government funding, facilities or resources of a university, college, other educational institution, research center or Governmental Entity or funding from third Persons (other than private investors in the ordinary course of business) was used in the development of the Company Intellectual Property and (b) no Governmental Entity, university, college, other educational institution or research center has any claim or right in or to the Company Intellectual Property.
(ii) No current or former Service Provider of the Acquired Companies who was involved in, or who contributed to, the creation or development of any Company Intellectual Property, has performed services for the government, a university, college or other educational institution, or a research center, during a period of time during which such Service Provider was also performing services for Acquired Companies
Public Funding. 7.6.1 you have not claimed payment under any other funding mechanism administered by the Scottish Government Rural Payments and Inspections Division or under any other statutory provision (except where it is specifically authorised under the terms of the Scheme) for any of the same purposes as the carrying out of any Approved Activities;
7.6.2 except with the prior written consent of the Scottish Ministers, no grant assistance from another public body or bodies (other than you) is being sought or has been approved in relation to the Approved Activities;
7.6.3 the carrying out of the Approved Activities will not frustrate the assistance given or to be given out of money provided by or under any statutory provision ;
7.6.4 any used machinery purchased with the Grant has not been the subject of grant aid from any previous Scottish Government funding scheme;

If such financing is unavailable to Buyer, Buyer may terminate this Agreement by giving Seller written notice of Buyer’s intention to do so. In the event that Buyer shall exercise its, Public Funding Contingencies, the Option Consideration shall be refundable and the parties shall be relieved of all further obligations under this Agreement.

City shall seek the public and governmental approvals necessary to generate Sixty-Two Million and No/100 Dollars ($62,000,000.00) of public funding for use in the Project (“Public Funding”), including, but not limited to, the authorization of the issuance of City of Fort Xxxxx Redevelopment Authority Lease Revenue Bonds (Electric Works West Campus Project) (“Bonds”). City shall seek the approvals necessary to authorize the issuance of the Bonds and to secure the pledge of funds required to generate the Public Funding and pay the principal and interest pursuant to the Bonds from the City of Fort Xxxxx Redevelopment Authority, the City of Fort Xxxxx Redevelopment Commission, the City of Fort Xxxxx Common Council, the Xxxxx County Fort Xxxxx Capital Improvement Board of Managers, the Xxxxx County Board of Commissioners, the Xxxxx County Council and all other required boards or commissions.
