Common use of Public Offering Information Clause in Contracts

Public Offering Information. Tenant specifically agrees that Landlord may include financial information and such information concerning the operation of the Facilities (1) which is publicly available or (2) the inclusion of which is approved by Tenant in writing, which approval may not be unreasonably withheld, in offering memoranda or prospectuses or confidential information memoranda, or similar publications or marketing materials, rating agency presentations, investor presentations or disclosure documents in connection with syndications, private placements or public offerings of GLP’s or Landlord’s securities or loans or securities or loans of any direct or indirect parent entity of Landlord, and any other reporting requirements under applicable federal and state laws, including those of any successor to Landlord, provided that, to the extent such information is not publicly available, the recipients thereof shall be obligated to maintain the confidentiality thereof and to comply with all federal, state and other securities laws applicable with respect to such information. Unless otherwise agreed by Xxxxxx, neither Landlord nor GLP shall revise or change the wording of information previously publicly disclosed by Tenant and furnished to Landlord or GLP or any direct or indirect parent entity of Landlord pursuant to Section 23.1 or this Section 23.2 and Landlord’s Form 10-Q or Form 10-K (or supplemental report filed in connection therewith) shall not disclose the operational results of the Facilities prior to Tenant’s Parent’s, Tenant’s or its Affiliate’s public disclosure thereof so long as Tenant’s Parent, Tenant or such Affiliate reports such information in a timely manner consistent with historical practices and SEC disclosure requirements. Tenant agrees to provide such other reasonable information and, if necessary, participation in road shows and other presentations at Landlord’s or GLP’s sole cost and expense, with respect to Tenant and its Leased Property to facilitate a public or private debt or equity offering or syndication by Landlord or GLP or any direct or indirect parent entity of Landlord or GLP or to satisfy GLP’s or Landlord’s SEC disclosure requirements or the disclosure requirements of any direct or indirect parent entity of Landlord or GLP. In this regard, Landlord shall provide to Tenant a copy of any information prepared by Landlord to be published, and Tenant shall have a reasonable period of time (not to exceed three (3) Business Days) after receipt of such information to notify Landlord of any corrections.

Tenant BLC Holdings agrees to provide such other reasonable information and, if necessary, participation in road shows and other presentations at Landlord’s or GLP’s sole cost and expense, necessary with respect to Tenant BLC Holdings, the Brookdale Lessees and its Leased Property the Facilities to facilitate a private placement or public or private debt or equity offering or syndication by Landlord or GLP or any direct or indirect parent entity of Landlord or GLP or to satisfy GLP’s the SEC or Landlord’s SEC regulatory disclosure requirements requirements. BLC Holdings agrees to cause its independent accountants, at PSLT-BLC Holdings' cost, to consent to the inclusion of their audit report issued with respect to such financial statements in any registration statement or other filing under federal and state laws and to provide the disclosure requirements underwriters participating in any offering of securities or interests of PSLT-BLC Holdings (or PSLT-BLC Holdings' Parent) with a standard accountant's "comfort" letter with regard to the financial information of BLC Holdings included or incorporated by reference into any prospectus or other offering document. BLC Holdings also agrees to make available to any underwriter participating in an offering of PSLT-BLC Holdings' (or PSLT-BLC Holdings' Parent's) securities or interests, and any attorney, accountant or other agent or representative retained by an underwriter (an "Inspector"), all financial and other records and pertinent corporate documents of BLC Holdings as shall be reasonably necessary to enable them to exercise their due diligence responsibility, and cause BLC Holdings' directors, officers and employees to supply all information requested by any such Inspector in connection with such offering. Prior to submission or circulation of any direct such offering memoranda, prospectuses or indirect parent entity of Landlord or GLP. In this regardsimilar publications, Landlord PSLT-BLC Holdings shall provide to Tenant a copy BLC Holdings copies of such documents for the purpose of reviewing same. Upon request of PSLT-BLC Holdings, BLC Holdings shall notify PSLT-BLC Holdings of any necessary corrections to information prepared by Landlord PSLT-BLC Holdings proposes to be published, and Tenant shall have publish within a reasonable period of time (not to exceed three (3) Business Days) after receipt of such information to notify Landlord of any correctionsbeing informed thereof by PSLT-BLC Holdings.
