Common use of Public Statements and Disclosure Clause in Contracts

Public Statements and Disclosure. Company and Parent shall consult with each other before issuing any press releases or otherwise any public statements or other public (or non-confidential) disclosures (whether or not in response to an inquiry) regarding the terms of this Agreement and the transactions contemplated hereby, and neither shall issue a press release or make any statements or disclosures without the prior written approval of the other (which consent shall not be unreasonably withheld, delayed or conditioned), except as may be required by law or by obligations pursuant to any listing agreement with any national securities exchange or with the NASD; provided, that no such consultation or approval shall be required to make any disclosure or otherwise take any action permitted by the terms of Section 4.3.
