Common use of Public Statements or Releases Clause in Contracts

Public Statements or Releases. None of the parties to this Agreement shall make, issue, or release any announcement, whether to the public generally, or to any of its suppliers or customers, with respect to this Agreement or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement or the transactions provided for herein, without the prior consent of the other parties, which shall not be unreasonably withheld or delayed, provided, that nothing in this Section 6(a) shall prevent any of the parties hereto from making such public announcements as it may consider necessary in order to satisfy any Legal Requirements applicable to it, but to the extent not inconsistent with such Legal Requirements, it shall provide the other parties with an opportunity to review and comment on any proposed public announcement before it is made.

Public Statements or Releases. The parties hereto agree that upon Closing the Company may issue a press release in substantially the forth attached hereto as Exhibit B.

None of the parties to this Agreement shall make, issue, or release any announcement, whether to the public generally, or to any of its suppliers employees, suppliers, or customers, with respect to this Agreement or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement or the transactions provided for herein, without the prior consent of the other parties, which shall not be unreasonably withheld or delayed, ; provided, that nothing in this Section 6(a) 7.16 shall prevent any of the parties Parties hereto from making such public announcements as it may consider necessary in order to satisfy any Legal Requirements applicable to itits legal obligations, but to the extent not inconsistent with such Legal Requirementsobligations, it shall provide the other parties with an opportunity to review and comment on any proposed public announcement before it is made.

None of the parties to this Agreement Purchasers shall make, issue, issue or release any announcement, whether to the public generally, generally or to any of its suppliers or customers, with respect to this Agreement and its contents or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement and its contents or the transactions provided for herein, without the prior consent of the other parties, which shall not be unreasonably withheld or delayed, provided, that nothing in this Section 6(a) 7.1 shall prevent any of the parties hereto Purchasers from making such public announcements as it may reasonably consider necessary in order to satisfy any Legal Requirements applicable to itits legal obligations, but but, to the extent not inconsistent with such Legal Requirementsobligations, it such Purchaser shall provide the other parties Company with an opportunity to review and comment on any proposed public announcement before it is made.

The parties hereto agree that upon a Closing the Company may issue a press release in substantially the form attached hereto as Schedule 8.1.

None of the parties to this Agreement shall make, issue, or release any announcement, whether to the public generally, or to any of its suppliers or customers, with respect to this Agreement or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement or the transactions provided for herein, without the prior consent of the other parties, which shall not be unreasonably withheld or delayed, provided, that nothing in this Section 6(a) 7.1 shall prevent any of the parties hereto from making such public announcements as it may consider necessary in order to satisfy any Legal Requirements applicable to itits legal obligations including the actions contemplated by the Registration Rights Agreement, but to the extent not inconsistent with such Legal Requirementsobligations, it shall provide the other parties with an opportunity to review and comment on any proposed public announcement before it is made. The parties hereto agree that the Company may issue a press release in substance substantially as set forth on Schedule 7.1 hereto.

Public Statements or Releases. None of the parties to this Agreement shall make, issue, or release any announcement, whether to the public generally, or to any of its suppliers or customers, with respect to this Agreement or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement or the transactions provided for herein, without the prior consent of the other parties, which shall not be unreasonably withheld or delayed, provided, that nothing in this Section 6(a‎6(a) shall prevent any of the parties hereto from making such public announcements as it may consider necessary in order to satisfy any Legal Requirements applicable to it, but to the extent not inconsistent with such Legal Requirements, it shall provide the other parties with an opportunity to review and comment on any proposed public announcement before it is made.

None of the parties to this Agreement Company or any of the Purchasers shall make, issue, or release any announcement, whether to the public generally, or to any of its suppliers or customers, with respect to this Agreement or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement or the transactions provided for herein, without the prior consent of the other parties, which shall not be unreasonably withheld or delayed, provided, provided that nothing in this Section 6(a) 8.1 shall prevent any of the parties hereto from making such public announcements as it may consider necessary in order to satisfy any Legal Requirements applicable to itits legal obligations, but to the extent not inconsistent with such Legal Requirementsobligations, it shall provide counsel to the other parties with an opportunity to review and comment on any proposed public announcement before it is made.. 38

None of the parties to this Agreement shall make, issue, or release any announcement, whether to the public generally, or to any of its suppliers or customers, with respect to this Agreement or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement or the transactions provided for herein, without the prior consent of the other parties, which shall not be unreasonably withheld or delayed, provided, that nothing in this Section 6(a) 8.1 shall prevent any of the parties hereto from making such public announcements as it may consider necessary in order to satisfy any Legal Requirements applicable to itits legal obligations including the actions contemplated by the Registration Rights Agreement, but to the extent not inconsistent with such Legal Requirementsobligations, it shall provide the other parties with an opportunity to review and comment on any proposed public announcement before it is made. The parties hereto agree that the Company may issue a press release in substance substantially as set forth on Schedule 8.1 hereto.

Public Statements or Releases. None Each of the parties to this Agreement agrees that it shall not make, issue, or release any announcement, whether to the public generally, or to any of its suppliers or customers, with respect to this Agreement or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement or the transactions provided for herein, without the prior consent of the other parties, which shall not be unreasonably withheld or delayed. Notwithstanding the foregoing, provided, that nothing in this Section 6(a) 8.3 shall prevent any of the parties hereto from making such public announcements or filings as it may consider necessary in order to satisfy any Legal Requirements applicable to itits legal obligations, but or from releasing a public statement mutually acceptable to the extent not inconsistent with such Legal Requirements, it shall provide parties hereto upon the other parties with an opportunity to review and comment on any proposed public announcement before it is madecompletion of the offering contemplated hereby.

None of the parties Purchasers to this Agreement shall make, issue, or release any announcement, whether to the public generally, or to any of its suppliers or customers, with respect to this Agreement or the transactions provided for herein, or make any statement or acknowledgment of the existence of, or reveal the status of, this Agreement or the transactions provided for herein, without the prior consent of the other partiesMajority Purchasers, which shall not be unreasonably withheld or delayed, provided, that nothing in this Section 6(a) 8.1 shall prevent any of the parties Purchasers hereto from making such public announcements as it may consider necessary in order to satisfy any Legal Requirements applicable to itits legal obligations, but to the extent not inconsistent with such Legal Requirementsobligations, it shall provide the other parties Purchasers and the Company with an opportunity to review and comment on any proposed public announcement before it is made.
