Common use of Public Transfers Clause in Contracts

Public Transfers. (a) Any Investor may Transfer any or all of such Investor's Shares, to the extent they constitute Common Stock, in a Public Offering undertaken in accordance with this Agreement without the consent of the Company or the other Investors. (b) Any Investor may Transfer any or all of such Investor's Shares pursuant to Rule 144 of the Securities Act.
