Common use of Publication of the Announcement and the terms of the Acquisition Clause in Contracts

Publication of the Announcement and the terms of the Acquisition. 2.1 The obligations of the parties under this Agreement, other than this Clause 2.1 and Clauses 15 to 26, shall be conditional on the release of the Announcement via a Regulatory Information Service at or before 7:30 a.m. on the date of this Agreement, or such later time and date as the parties may agree (and, where required by the Code, approved by the Panel). 2.2 The terms of the Acquisition shall be as set out in the Announcement, together with such other terms as may be agreed by the parties in writing (save in the case of an improvement to the terms of the Acquisition, which will be at the absolute discretion of Shell) and, where required by the Code, approved by the Panel. The terms of the Acquisition at the date of posting of the Scheme Document shall be set out in the Scheme Document. Should Shell elect to implement the Acquisition by way of an Offer in accordance with Clause 6.3, the terms of the Acquisition shall be set out in the Offer Document.

Clause 1, this subclause 2.1 and clauses 11 to 24 (inclusive) shall take effect on and from the execution of this agreement. 2.2 The terms of the Acquisition shall be as set out in the Announcement, together with such other terms and as may otherwise be agreed by the parties in writing (save in the case solely of an improvement increase in the cash consideration to the terms of the Acquisitionbe paid to Consort Shareholders, which will be at the absolute discretion of ShellRecipharm) and, where required by the Code, approved by the Panel. The terms of the Acquisition at the date of posting of the Scheme Offer Document shall be set out in the Scheme Document. Should Shell elect to implement the Acquisition by way of or, following an Offer in accordance with Clause 6.3Agreed Switch, the terms date of the Acquisition posting of any scheme circular, shall be set out in the Offer Document.Document or the scheme circular (as applicable).‌

The terms of the Acquisition at the date of posting of the Scheme Document shall be set out in the Scheme Document. Should Shell Fnac elect to implement the Acquisition by way of an Offer in accordance with Clause 6.3this Agreement, the terms of the Acquisition shall be set out in the Offer Document.

This Clause 2.1 and Clauses 9 to 23 (inclusive) shall take effect on and from execution of this Agreement. 2.2 The terms of the Acquisition shall be as set out in the Announcement, together with such other terms as may be agreed by the parties in writing (save in the case of an improvement to the terms of the Acquisition, which will be at the absolute discretion of ShellAvnet) and, where required by the Code, approved by the Panel. The terms of the Acquisition at the date of posting of the Scheme Document shall be set out in the Scheme Document. Should Shell Avnet elect to implement the Acquisition by way of an the Offer in accordance with Clause 6.36.1, the terms of the Acquisition shall be set out in the Offer Document.

The terms of the Acquisition at the date of posting publication of the Scheme Acquisition Document shall be set out in the Scheme Document. Should Shell elect to implement the Acquisition by way of an Offer in accordance with Clause 6.3, the terms of the Acquisition shall be set out in the Offer Document.

The Initial Provisions shall take effect on and from execution of this Agreement. 2.2 The terms of the Acquisition shall be as set out in the Announcement, together with such other terms as may be agreed by the parties in writing (save in the case of an improvement to the terms of the Acquisition, which will be at the sole and absolute discretion of ShellBidco) and, where required by the Takeover Code, approved by the Panel. . 2.3 The terms of the Acquisition at the date of posting publication of the Scheme Acquisition Document shall be set out in the Scheme Document. Should Shell elect to implement the Acquisition by way of an Offer in accordance with Clause 6.3, the terms of the Acquisition shall be set out in the Offer Document.
