Subject to the terms and conditions of this Agreement, at the Closing, Seller shall transfer, sell, and deliver to Buyer, free and clear of all Encumbrances, other than Permitted Equity Encumbrances, and Buyer shall purchase and accept delivery of, the Acquired Securities.
